Nagori Soft Contribution Terms

1. Scope and Definitions
- These Terms apply to “Nagori Soft Contribution” (“Contribution”) offered under the Nagori Soft name.
- “Provider” means the individual, company, or other entity that offers Contribution under the Nagori Soft name.
- “User” or “you” means an individual or organization that makes a Contribution or uses a Contribution Code.
- “Contribution Code” means a code issued in connection with a Contribution for the purpose of confirming or recording that Contribution in compatible Nagori Soft software.
- “Receipt” means signed confirmation information that may be issued by the Nagori Soft verification service following valid verification of a Contribution Code.
- These Terms supplement the basic provisions concerning Contribution in the Nagori Soft Software License and govern applications for Contribution, payments, Contribution Codes, Receipts, and related matters.
- These Terms do not themselves modify the software license grant under the Nagori Soft Software License.
2. Nature and Optional Status of Contribution
- Contribution is a mechanism through which Users may voluntarily provide monetary support for the development, maintenance, operation, and continued availability of Nagori Soft software.
- Contribution is not consideration for software, additional features, services, or anything else, and is not the purchase of a software license.
- Contribution is entirely optional. Choosing not to make a Contribution does not restrict normal use of Nagori Soft software under the Nagori Soft Software License or other applicable terms.
- Contribution is not a condition for downloading, installing, launching, or using the normal functionality of Nagori Soft software.
- After a Contribution, compatible software may display a Contributor indication, Contribution record, or another expression of appreciation or record. These are incidental displays intended to express appreciation for and record the Contribution and are not provided as consideration granting a right to use software, features, services, or anything else.
- Nagori Soft does not guarantee that a Contribution will automatically qualify for a charitable-donation deduction or any other particular tax treatment. Users are responsible for making any necessary determination concerning applicable tax treatment.
3. Relationship to Software Use and the License
- Use of software is governed by the Nagori Soft Software License and any other terms applicable to that software.
- Making a Contribution does not automatically expand the scope of the software license grant.
- Choosing not to make a Contribution does not add time limits, material feature restrictions, or usage-count limits to normal free use, except where different terms are lawfully and expressly established for a particular software product.
4. Application and Completion of a Contribution
- A User may apply to make a Contribution after reviewing the amount, currency, payment method, and other information displayed by Nagori Soft or a designated third-party payment provider.
- The Contribution amount, payment method, and other material transaction information will be displayed in a manner that allows the User to review them before finalizing the application.
- A Contribution is completed when the User finalizes the application, the payment is successfully processed, and payment completion is confirmed by Nagori Soft or the designated third-party payment provider. If the screen used at the time or the applicable payment provider’s terms specify a more precise time at which the Contribution is completed, that stated time will apply.
- If payment is declined, cancelled, or left incomplete, the Contribution may not be completed.
5. Amounts, Payment, and Third-Party Payment Services
- Contribution amounts and available currencies are displayed on the screen used when making a Contribution.
- Payment methods are those presented at the time of Contribution by Nagori Soft or the applicable third-party payment provider.
- Where taxes, payment-processing fees, or other amounts are payable by the User, the required information will be displayed before the Contribution is finalized in accordance with applicable law.
- Where a third-party payment provider is used, that provider’s terms of service, privacy policy, and other applicable conditions may also apply to payment processing.
- As a general principle, information obtained by Nagori Soft from a third-party payment provider is limited to the extent necessary to confirm the Contribution, issue a Code, process a refund, respond to inquiries, or otherwise operate Contribution. Specific handling of information is subject to the Nagori Soft Privacy Policy.
6. Issuance and Scope of Contribution Codes
- Under the current Contribution mechanism, a Contribution Code is issued in connection with a completed Contribution.
- A Contribution Code is not a license key that grants a right to use software and is not a key required to unlock normal functionality.
- A Contribution Code is used in compatible Nagori Soft software to confirm a Contribution and leave a local record or expression of appreciation for that Contribution.
- The product or scope to which a Contribution Code applies is determined by the information displayed when it is issued or by the specification of that Code. Unless expressly stated otherwise, a single Code is not guaranteed to be usable with every Nagori Soft product.
- After completion of a Contribution has been confirmed, the Contribution Code is provided by the method displayed at the time of Contribution, through the designated payment or communication channel, or by another method described by Nagori Soft.
- If delivery of the Code is temporarily delayed or affected by a technical problem, the User may contact Nagori Soft using the contact information in Section 18.
7. Registration of Codes and Contribution Records
- Compatible software may allow the User to expressly enter a Contribution Code and verify the Code through the Nagori Soft verification service.
- If verification succeeds, compatible software may store a signed Receipt or other confirmation information on the device in order to confirm the Contribution.
- This confirmation information is intended to leave a record of the Contribution and an expression of appreciation within the application and is not license information required to enable normal functionality.
- If compatible software provides a function for removing a local Contribution record, that action only removes the record from the device, unless expressly stated otherwise, and does not revoke the Contribution Code on the server.
- Specific methods for storing and deleting Receipts or other local records are described in the applicable Product-Specific Privacy Information.
8. Management, Loss, and Reissuance of Codes
- Users should appropriately manage Contribution Codes and avoid carelessly disclosing them to third parties.
- Where necessary for security or operational reasons, Nagori Soft may revoke on the server a lost Code, an unusable Code, or a Code that may be subject to unauthorized use.
- If a User loses a Contribution Code and Nagori Soft can reasonably verify the Contribution or related transaction, Nagori Soft may provide the Code again, reissue it, or issue a replacement Code. Nagori Soft may request transaction information or other confirmation to the extent necessary for that purpose.
- When a Code is reissued or a replacement Code is issued, the old Code may be revoked for security or operational reasons.
- These Terms do not guarantee that a Code can be reissued in every case. Reissuance may not be available where the Contribution or its relationship to the requesting User cannot reasonably be verified, or where reissuance would otherwise be inappropriate.
9. Invalidity, Revocation, and Unauthorized Use
- If a Contribution Code is invalid, has been revoked, or does not apply to the relevant product, the Nagori Soft verification service may reject a new registration or re-verification of that Code.
- Where there is a legitimate reason, including unauthorized acquisition, erroneous issuance by the system, cancellation or refund of payment, a chargeback, or action required by law, Nagori Soft may stop future verification of the Code in accordance with applicable law and transaction-related obligations.
- Even if a Code is revoked on the server, a signed Receipt or other Contribution record already lawfully registered and stored on a device may not be automatically deleted remotely under the current technical design.
- Even where a local record technically remains under the preceding paragraph, it does not alter the status of a refund, cancellation, or other transaction and does not create any additional right or benefit.
- Revocation of a Code or deletion of a Contribution record does not restrict the normal functionality of the software.
10. Refunds, Cancellations, Duplicate Contributions, and User Errors
- Cancellation or refund after completion of a Contribution is handled in accordance with applicable law, the conditions of the applicable third-party payment provider, and the individual circumstances. Nothing in these Terms restricts any right to a refund or other remedy available under applicable law.
- Except where a refund is required by law or by an individual disclosure, Nagori Soft does not guarantee a particular refund outcome merely because Contribution is voluntary monetary support and not consideration for software, features, or services.
- If a User makes a duplicate Contribution, enters an incorrect amount, or makes another operational error, the User should contact Nagori Soft using the contact information in Section 18 as promptly as practicable. Nagori Soft will respond based on applicable law, the payment provider’s conditions, and transaction information that can be verified.
- If a refund, payment cancellation, or chargeback occurs, Nagori Soft may revoke the corresponding Contribution Code and stop future verification.
- Even in the circumstances described in the preceding paragraph, a Receipt already stored on a device may not be technically deleted automatically. Section 9, paragraphs 3 and 4, apply in that case.
11. Rights Not Granted by Contribution
- Unless expressly stated otherwise, Contribution does not grant any of the following rights or benefits:
(1) additional features;
(2) priority or individualized technical support;
(3) future updates or new Versions;
(4) additional rights in source code;
(5) copyright or other intellectual property rights; or
(6) any right to participate in decisions concerning the operation or development policies of Nagori Soft.
- A Contributor indication or another expression of appreciation or record does not grant any additional right or benefit described in the preceding paragraph.
12. Changes to or Discontinuation of the Contribution Mechanism
- For future Contributions, Nagori Soft may change payment methods, Code mechanisms, supported products, or other aspects of Contribution, or may discontinue acceptance of new Contributions.
- Such change or discontinuation does not restrict normal free use of Nagori Soft software.
- Any obligation imposed by law or expressly undertaken with respect to a Contribution already completed is not extinguished merely because the Contribution mechanism is changed or discontinued.
13. Privacy and User Information
- User Information handled in connection with Contribution is subject to the Nagori Soft Privacy Policy and, where applicable, Product-Specific Privacy Information.
- Payment information or other information independently collected or processed by a third-party payment provider may be subject to that provider’s privacy policy and other terms.
- Information processed when compatible software verifies a Contribution Code is specifically described in the Product-Specific Privacy Information for that software.
14. Disclaimers, Liability, and Mandatory Law
- To the maximum extent permitted by applicable law, Nagori Soft is not liable for failures of third-party payment providers, communications networks, or other third-party services that are not attributable to Nagori Soft.
- Where damage arises from Nagori Soft’s ordinary negligence, Nagori Soft is not liable for special, indirect, incidental, or consequential damages to the extent such limitation is permitted by applicable law.
- The preceding limitation does not apply in cases of intentional misconduct or gross negligence by Nagori Soft or where liability cannot be excluded or limited under applicable law.
- Nothing in these Terms excludes or restricts any right, remedy, warranty, or protection available to a User under applicable mandatory law.
15. Changes to These Terms
- Nagori Soft may revise these Terms in response to changes in law, the Contribution mechanism, payment methods, or other circumstances.
- Revised Terms will generally apply to Contributions made after the revised Terms take effect.
- If a revision would materially and adversely change a User’s rights or obligations with respect to a Contribution already completed, Nagori Soft will comply with applicable law.
16. Governing Law and Jurisdiction
- These Terms are governed by and construed in accordance with the laws of Japan.
- Any dispute concerning these Terms or Contribution will be subject to the jurisdiction of a court in Japan having jurisdiction under Japanese law.
- Notwithstanding the preceding two paragraphs, particularly where the User is a consumer, nothing in this Section deprives the User of any mandatory protection concerning governing law, jurisdiction, remedies, or other rights provided by the law of the User’s habitual residence or any other applicable jurisdiction.
17. Language
- The Japanese and English versions of these Terms are both authoritative.
- The two language versions are intended to have the same content and legal effect.
- If there is any difference in expression or question of interpretation between the Japanese and English versions, both versions shall be read together and interpreted in the manner most consistent with the common purpose of these Terms. Where applicable law requires a particular treatment, that law shall govern.
