1. Scope and Definitions

This License applies to software provided under the Nagori Soft name together with this License.

“Developer” means the person or entity that owns the copyright or other rights in the Software or is otherwise lawfully authorized to provide the Software.

“Software” means software provided together with this License and, unless a different license is expressly stated, includes executable files, related files, accompanying documentation, and source code provided by the Developer under this License.

“User” or “you” means any individual, company, organization, or other entity that uses the Software.

You agree to this License if you select acceptance on a screen that requests your agreement to this License, or, where valid under applicable law, if you download, install, run, or otherwise use the Software after having been given a reasonable opportunity to review this License.

If you do not agree to this License, you may not use the Software to the extent that such use requires permission under this License, except to the extent otherwise permitted by applicable law.

2. License Grant and Free Use

Subject to compliance with this License, the Developer grants you a non-exclusive and non-transferable right to use the Software for an indefinite period and free of charge, unless the license grant is terminated under Section 17.

You may use the Software for personal, household, business, commercial, educational, research, governmental, or other lawful purposes.

Business or commercial use under the preceding paragraph includes use of the Software for your own business, operations, education, research, or services, or those of your organization. It does not, however, grant you the right to sell, redistribute, sublicense, or otherwise provide the Software itself to third parties.

You may install and use the Software on multiple devices owned, controlled, or lawfully used by you or your organization.

You may make backup copies of the Software and deploy the Software to managed devices to the extent necessary for use by you or within your organization.

Unless expressly provided otherwise in applicable Additional Terms, free use of the Software is not subject to a time limit, material feature restriction, or usage-count limitation.

3. Nagori Soft Contribution

The Developer may offer “Nagori Soft Contribution” (“Contribution”) as a mechanism through which Users may voluntarily provide monetary support for the development, maintenance, operation, and continued availability of the Software and other software provided by Nagori Soft.

Contribution is not consideration for the Software, additional features, services, or anything else, and is not itself a license to use the Software.

Contribution is entirely optional. Choosing not to make a Contribution does not restrict the normal free use permitted under this License.

Unless expressly provided otherwise, Contribution does not grant additional features, priority or individualized technical support, future updates, new Versions, additional rights in source code, copyright or other intellectual property rights, or any right to participate in decisions concerning the operation or development policies of Nagori Soft.

A Contribution Code, Contributor indication, signed Receipt, or other confirmation or record mechanism may be provided in connection with a Contribution. These mechanisms are intended to confirm or record a Contribution or display appreciation and are not license keys or feature-unlock keys required to use the normal functionality of the Software.

Applications, payments, Contribution Codes, refunds, expiration, and other matters relating to Contribution are governed by the separately provided Nagori Soft Contribution Terms.

4. Redistribution and Similar Activities

Except for copying, backup, and deployment within your own organization as provided in Section 2, you may not, without the Developer’s prior permission:

(1) redistribute or republish the Software or copies of the Software to third parties;

(2) sell, lend, lease, sublicense, or otherwise provide the Software to third parties by similar means;

(3) incorporate the Software into a software distribution intended for third parties, or repackage and distribute the Software itself as another product;

(4) represent the Software or a substantially identical copy as a product developed by you or by a third party; or

(5) remove, conceal, or improperly alter any copyright notice, license notice, or other rights notice included in the Software.

If you wish to introduce the Software to a third party, you may direct that person to an official source designated by the Developer, such as Microsoft Store, the official Nagori Soft website, or an official Nagori Soft Direct Download.

Nothing in this Section prohibits you from using the Software for your own business, operations, education, research, or services, or those of your organization.

5. Source Code

If the Developer publishes or provides the source code of the Software or a source-code snapshot of a particular Version, this Section applies unless a different license is expressly stated.

You may:

(1) view the source code and examine the mechanisms, design, behavior, or security of the Software;

(2) use the source code as a technical, educational, research, or learning reference; and

(3) copy, modify, build, and run the source code for use, research, evaluation, verification, or learning by you or within your organization.

This License does not restrict your use of general knowledge, ideas, principles, methods, concepts, techniques, or other matters obtained through viewing, researching, or using the source code that are not protected by copyright or other applicable law.

However, without the Developer’s prior permission, you may not:

(1) redistribute or republish all of the source code or any substantial part protected by copyright or other applicable law to third parties;

(2) distribute modified source code or derivative versions generated from it to third parties;

(3) copy all of the source code or any substantial part protected by copyright or other applicable law and incorporate it into other software or a product distributed to third parties;

(4) sell, sublicense, or redistribute to third parties software that itself uses all of the source code of the Software or any substantial part protected by copyright or other applicable law; or

(5) remove, conceal, or improperly alter any copyright notice, license notice, or other rights notice included in the source code.

The fact that source code is published or provided under this Section does not, by itself, mean that the Software is provided as open-source software.

If a separate license, such as the MIT License, Apache License, or GNU General Public License, is expressly stated for the source code or any part of it, that separate license applies to the relevant part.

6. Analysis, Interoperability, and Other Statutory Rights

Except where expressly permitted in Section 5 or elsewhere, this License does not grant you any additional right to decompile, disassemble, or otherwise analyze the Software.

Notwithstanding the preceding paragraph, nothing in this License restricts any statutory right to make backup copies, observe, study, or test the operation of a program, perform analysis necessary to achieve interoperability, or exercise any other right to the extent that applicable law does not permit such right to be excluded or restricted by contract.

7. Third-Party Components

The Software may include open-source software, libraries, frameworks, fonts, images, audio, or other components in which third parties hold rights.

Each third-party component is subject to the license or other terms established by its respective rights holder.

If this License differs from the terms applicable to a third-party component, the third party’s terms prevail with respect to that component.

8. Distribution Channels and Third-Party Platforms

The Software may be provided through Microsoft Store or another app store, the official Nagori Soft website or official Direct Download, or another distribution channel designated by the Developer.

If the Software is provided through Microsoft Store or another third-party platform, that platform’s terms of use, rules, distribution terms, or other conditions may apply in addition to this License.

Differences in code-signing status, distribution format, or acquisition channel for a particular distribution artifact do not change the license grant under this License unless a different license is expressly stated.

For official Nagori Soft Direct Downloads, certain Portable or Setup artifacts may not carry an Authenticode code signature. In such cases, Nagori Soft generally indicates the signing status and the possibility of Windows warnings on the official Download page or an equivalent location.

This License does not restrict rights guaranteed to you by applicable law or by mandatory terms of the applicable platform.

9. Ownership of Rights and Branding

Except for the rights expressly granted under this License, copyright and other intellectual property rights in the Software and its source code remain with the Developer or the lawful rights holder.

This License does not transfer to you the copyright or any other intellectual property right in the Software itself.

This License does not, by itself, grant any trademark or other brand-use right in the Nagori Soft name, the name of the Software, logos, icons, or other branding.

10. Lawful Use

You must not use the Software for a purpose or in a manner that violates applicable law, infringe the rights of third parties through use of the Software, or gain unauthorized access to third-party systems, networks, or data.

11. Privacy and Data

Where personal information or other data is handled in connection with the Software, such handling is subject to applicable law, the Nagori Soft Privacy Policy, and, where provided, the applicable Product-Specific Privacy Information or other notice for that Software.

This License does not require you to waive or restrict any rights available to you under applicable privacy or data-protection law.

12. Updates, Maintenance, and Support

Unless separately and expressly agreed, the Developer is not obligated to continue providing updates, corrections, maintenance, additional features, or technical support for the Software.

The Developer may change or discontinue the development, distribution, updating, or support of the Software.

If the Software includes an update-check function, the applicable Product-Specific Privacy Information will describe the related communications and data handling.

Nothing in this Section relieves the Developer of obligations imposed by applicable law or other terms expressly promised by the Developer.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “AS IS” and “AS AVAILABLE.”

Except where the Developer expressly provides a warranty or where a warranty cannot be excluded under applicable law, the Developer does not warrant that the Software will be fit for a particular purpose; operate continuously or without interruption; be complete or accurate; be compatible with a particular environment or device; preserve data; or be free from failures, defects, or security vulnerabilities.

Nothing in this Section excludes or restricts any warranty, condition, or other right of the User that cannot be excluded or restricted under applicable law.

14. Limitation of Liability

The Developer is not liable for damage arising from circumstances not attributable to the Developer.

To the maximum extent permitted by applicable law, where you suffer damage due to the Developer’s ordinary negligence, the Developer is not liable for special, indirect, incidental, or consequential damages, lost profits, loss of business opportunities, loss of data, or business interruption, except to the extent such liability cannot be excluded or limited under applicable law.

The limitations in this Section do not apply where the damage results from the Developer’s intentional misconduct or gross negligence, where applicable law does not permit limitation of liability for injury to life or body, or in any other circumstance where applicable law does not permit liability to be excluded or limited.

15. Mandatory Law and Reservation of Statutory Rights

Nothing in this License excludes, waives, or restricts any right, remedy, warranty, or protection of the User, or any obligation of the Developer, to the extent that applicable law does not permit it to be excluded, waived, or restricted by contract.

If any provision of this License conflicts with applicable mandatory law, that mandatory law prevails only to the extent of the conflict.

16. Product-Specific Additional Terms

The Developer may establish separate terms of use, additional terms, or other special terms (“Additional Terms”) for a particular Software product, Version, feature, distribution method, transaction, or service.

Where Additional Terms apply, the Developer will make those Additional Terms reasonably available to you before the applicable use or transaction begins.

Where Additional Terms apply, those Additional Terms and this License together govern the applicable Software product, Version, feature, distribution method, transaction, or service.

If any provision of the Additional Terms differs from this License, the Additional Terms prevail only to the extent expressly specified in those Additional Terms.

In all matters not modified by the Additional Terms, this License continues to apply.

17. Termination of License Grant

If you violate this License or applicable Additional Terms and the violation is reasonably capable of cure, the Developer may require you to cure the violation within a reasonable period and may terminate your license grant under this License if you fail to do so within that period.

The Developer may terminate the license grant immediately in the case of a serious violation or a violation that, by its nature, is reasonably difficult or impossible to cure.

Upon termination, you must cease using the Software and cease any other activity that requires permission under this License, except to the extent otherwise permitted by applicable law.

Sections 7, 9, 13 through 15, 19 through 21, and any other provision that by its nature should survive termination remain effective after termination.

18. Changes to This License

The Developer may revise this License or apply different license terms to future Versions of the Software.

Unless you separately agree to new terms or applicable law permits otherwise, the license terms that applied when you lawfully obtained a particular Version of the Software will continue to govern that Version.

The Version number of this License is managed independently of the Version number of the Software itself.

19. Severability

If any provision of this License is held to be invalid, unlawful, or unenforceable under applicable law, that provision will be applied, to the extent permitted by applicable law, in a manner that most closely reflects its intended purpose, or will be disregarded only to the extent necessary, and the remaining provisions will remain in effect, unless applicable law requires otherwise.

20. Governing Law and Jurisdiction

This License is governed by and construed in accordance with the laws of Japan, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to this License or the Software will be subject to the jurisdiction of a court in Japan having jurisdiction under Japanese law.

Notwithstanding the preceding two paragraphs, nothing in this Section deprives or restricts you, particularly if you are a consumer, of any mandatory protection concerning governing law, jurisdiction, remedies, or other rights provided by the law of your habitual residence or any other applicable jurisdiction.

21. Language

The Japanese and English versions of this License are both authoritative.

The two language versions are intended to have the same content and legal effect.

If there is any difference in expression or question of interpretation between the Japanese and English versions, both versions shall be read together and interpreted in the manner most consistent with the common purpose of this License. Where applicable law requires a particular treatment, that law shall govern.
